Draft for legal review. These terms were written from ICO guidance and common practice and have not been checked by a lawyer. Square brackets mark facts the owner has not yet confirmed.
Who these terms are between
The Bradshaw API is provided by Excession Corporation, a corporation incorporated in Ontario, Canada (Ontario Corporation Number 1001379227), with its address for notices at 32 Castlewood Road, Toronto, Ontario M5N 2L2, Canada. These terms add to the Terms. If the two documents disagree about the API, these API terms win.
Keys and secrecy
Each key belongs to the account that created it. Keep it secret: do not put it in a web page, a mobile app, a public repository or anywhere else other people can read it.
You are responsible for every call made with your keys. If a key leaks, revoke it on the API keys page and make a new one. Tell us at [email protected] if you think someone else has used it.
Quotas and rate limits
Your plan sets how many calls you can make and how fast. The trial has its own quota. Your current use and limit are on the API keys page. Calls return HTTP 429 when the quota or the rate limit is used.
If you get a 429, wait before you try again. Do not spread calls over extra keys or accounts to get more than your plan allows. We email the account owner when use reaches 90% and 100% of the quota.
Attribution
Where you show Bradshaw data publicly, in a product, report or web page, add this line next to it: “Data from Companies House via Bradshaw”. Where you can, link it to the filing we give in the response.
Do not suggest that Bradshaw or Companies House endorses you or your product.
The data and its accuracy
Figures are as filed. Every round in a response carries its working and a link to the filing at Companies House, so that you can check it. Some fields are estimates, and the response marks them.
We do not promise that the data is complete, correct or up to date. A filing can be wrong, a round can be missing, and a figure can differ from what was announced. Check the filing before you rely on a figure.
The API is not financial, investment, tax or legal advice, and nothing in a response is a recommendation. Do not present it as one.
No resale or redistribution
You may use API data in your own products and analysis. You must not resell it, or give it to others in bulk, as a data set, a feed or a copy of our database. You must not use it to build a service that competes with Bradshaw by offering the same data.
Showing results to your own users, one query at a time, is fine.
You must not use API data to contact, profile or track individual people, or to build lists of people.
Caching and deletions
You may keep copies of API data so your product runs well. Refresh what you keep at least daily.
When Companies House removes or suppresses a record, we remove it within 24 hours of our next rebuild. You must honor these deletions the same way: remove the record from your copies within 24 hours of the next rebuild, including copies you derived from it. This matters most for personal data about directors and people with significant control, which must not stay in your systems after the register has removed it. See the privacy notice.
If you hold personal data from the API, you are responsible for how you use it. [Controller roles and any data processing terms, to be confirmed in legal review.]
Changes and versioning
Every endpoint sits under a version in its path, today /v1. Within a version we add fields and endpoints but do not remove or rename them. A breaking change comes in a new version.
We give at least [notice period] notice before we retire a version. We email the account owner.
Suspension
We may suspend or revoke a key at once if it is used to break these terms, to scrape or resell data, or in a way that harms the service or its other users. Where we can, we tell you first and give you a chance to fix the problem. [Suspension and appeal process, to be confirmed in legal review.]
The rest
The Terms apply to the API as well. That covers accounts, payment, cancelling, personal data, liability, governing law and how to contact us.
Questions about the API terms go to [email protected].
