Draft for legal review. These terms were written from ICO guidance and common practice and have not been checked by a lawyer. Square brackets mark facts the owner has not yet confirmed.

Who we are

Bradshaw is run by Excession Corporation, a corporation incorporated in Ontario, Canada (Ontario Corporation Number 1001379227), with its address for notices at 32 Castlewood Road, Toronto, Ontario M5N 2L2, Canada. In these terms, “we” and “us” mean that company.

These terms apply to the Bradshaw website and app. If you use the API, the API terms apply as well. By creating an account or using the service, you agree to these terms. If you use Bradshaw for an organization, you confirm that you may accept these terms for it.

The service and the data

Bradshaw is a database of funding rounds in UK private companies. It is built from public sources, mainly the share allotment filings that companies send to Companies House.

Accounts and seats

You sign in with a link sent to your email address. Keep your email account secure, because anyone who can open the link can use your Bradshaw account.

Each seat is for one named person and is not shared. A plan lists how many seats it includes. The owner of an account is responsible for everything done by the people invited to it, and for removing people who leave.

The 14-day trial and plans

A new account starts with a free trial of 14 days. No card is needed. The trial has its own limits on CSV export and API calls.

After the trial you can choose a paid plan or stay on the free plan. See Pricing for what each plan includes. Prices and limits may change before launch and are shown on that page.

Payment

Payments are handled by Stripe. Your card details go to Stripe and we do not store them. Paid plans are billed per seat, in advance, for the period shown at checkout. Prices are shown [including or excluding VAT, to be confirmed in legal review].

If a payment fails, we tell you and give you until a stated date to update your card before access stops.

Cancelling

You can cancel at any time from Billing in your account. Your plan then runs to the end of the period you have paid for. [Refund terms, to be confirmed in legal review.]

After a trial ends or a plan is cancelled, we keep your lists, saved searches and alerts for 90 days. You can download your lists as CSV before then.

Acceptable use

You may use Bradshaw for your own research and for your organization’s internal work. You must not:

You may quote individual figures with a link to the filing or to Bradshaw. We may suspend an account that breaks these rules.

Your content

Your saved searches and lists are yours. You give us the right to store them and show them to you and to the people on your team, and nothing more. We do not use them for anything else, and we do not sell them.

We own the Bradshaw service, its design and the figures we work out. The underlying register data is public, and the terms of the register apply to it. Filing documents belong to their filers and are not copied by Bradshaw: we link to them at Companies House.

Personal data

The privacy notice explains what personal data we hold, why, and how to ask us about it. It covers both our customers and the people named on the public register.

When Companies House removes or suppresses a record, we remove it within 24 hours of our next rebuild. You must not keep or republish personal data that has been removed in this way.

Availability

We aim to keep Bradshaw available, but we do not promise that it will always be. We update the data every night, and the page shows the date the data runs to. We may change or stop a feature. If we stop a paid feature, we will tell you and refund the unused part of what you paid. [Confirm.]

Changes to these terms

We may change these terms. We will email the owner of each account at least [notice period] before a change that matters to you takes effect. If you do not agree, you can cancel before then. Using Bradshaw after the change means you accept it.

Liability

The service and the data are provided as they are, with no warranty that they are complete, correct or always available. [Warranty disclaimer, to be confirmed in legal review.]

Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, and for fraud. Otherwise, our liability to you is limited to [liability cap, to be confirmed in legal review], and we are not liable for [excluded losses, to be confirmed in legal review].

You are responsible for decisions you make using Bradshaw. We are not liable for a loss that comes from relying on a figure that was filed wrongly.

Governing law

These terms are governed by the law of England and Wales. [Confirm with lawyer: governing law for an Ontario seller]. The courts of England and Wales have [exclusive or non-exclusive, to be confirmed in legal review] jurisdiction.
