- Confirmation statement. A confirmation statement, form CS01, is the filing in which a UK company confirms to Companies House that the information held on the public register is up to date.
- Down round. A down round is a funding round priced per share below the same company's previous priced round.
- No press coverage found. No press coverage found is Bradshaw's label for a priced round for which a dated search of the press found no article reporting it.
- Nominal value. Nominal value, also called par value, is the fixed face value given to each share when its class is created, and it is not what the share is worth.
- Option exercise. An option exercise is an allotment of shares to someone who holds an option to buy them, normally at a small fixed price, rather than a financing round.
- Person with significant control (PSC). A person with significant control (PSC) is a person or legal entity that owns or controls a UK company above thresholds set in law, and is recorded on the company's public PSC register at Companies House.
- Post-money valuation. Post-money valuation is the value of a company immediately after the new money of a funding round has been added.
- Pre-money valuation. Pre-money valuation is the value of a company immediately before the new money of a funding round is added.
- Price per share. Price per share is the amount paid for each new share, including any premium over the share's nominal value.
- Priced round. A priced round is one financing event in which a company sells new shares for cash at a stated price per share.
- SH01. SH01 is the form a UK company files at Companies House to return an allotment of shares, giving the number and class of the new shares, the amount paid for them and the statement of capital after the allotment.
- Share subdivision (SH02). A share subdivision, or split, divides existing shares into a larger number of smaller shares, and the company reports it to Companies House on form SH02.
- Step-up. A step-up is a round's price per share divided by the price per share of the same company's previous priced round.
